1. Scope of These Terms

This document includes two parts:

• Part A – General Terms: Applies to all visitors and users of the ROOMS.TEL website.
• Part B – Additional Terms for Clients Leasing Templated Sites: Applies only to clients leasing a templated website or digital service via ROOMS.TEL.

Where a separate Service Agreement exists between Kiskadee Media Inc. and a client, that agreement will override these Terms in the event of a conflict.

2. Acceptable Use

You agree not to use the Site or its services to:

• Host, promote, or link to adult content, illegal activities, or content infringing on intellectual property rights;
• Post, transmit, or distribute material that is defamatory, abusive, hateful, discriminatory, or harmful;
• Violate any applicable laws or regulations;
• Attempt to compromise the performance, security, or integrity of the Site or any associated service.

3. Intellectual Property

All content, including design, code, graphics, domain names, videos, and documentation, is the exclusive property of Kiskadee Media Inc., unless otherwise noted.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial use only. You may not reproduce, modify, or distribute any content without our prior written consent.

4. Privacy Policy

Your use of ROOMS.TEL is subject to our Privacy Policy, which governs how we collect, use, and protect your personal data. Please review it carefully before using the Site.

5. Modifications to the Site or Terms

We reserve the right to modify the Site, services, or these Terms at any time. Changes will become effective upon posting. Continued use of the Site constitutes your acceptance of the updated Terms.

6. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario, Canada. Any disputes shall be resolved exclusively in the courts of Ontario.

7. Contact Information

These additional terms apply only to clients who have contracted with Kiskadee Media Inc. for the use of a website through ROOMS.TEL.

8. User-Provided Content

As a client, you are solely responsible for all content (text, images, video, etc.) that you upload or provide for inclusion on your leased site.

You agree that:

• All content must comply with applicable laws and the Acceptable Use policy (see Section 2);
• You have all necessary rights and licenses to use and publish the content you provide;
• We may remove, edit, or suspend any content that violates these Terms or legal requirements.

9. Service Agreement Precedence

Where a separate Service Agreement has been executed for the leasing of a site, that agreement will govern the commercial and operational aspects of the relationship. These Terms will apply only to the extent not covered by that agreement.

10. Charges and Payment

All service fees are billed in U.S. Dollars ($USD) and are subject to the terms outlined in your Service Agreement or applicable pricing documentation.

Failure to pay may result in suspension or termination of your leased site and related services.

11. Service Availability and Security

While we strive to provide reliable service, you acknowledge that:

• We cannot guarantee continuous, uninterrupted access to your leased website;
• Disruptions, outages, hacking, or malware may occur despite reasonable precautions;
• We are not liable for any damages, lost revenue, or business opportunities resulting from service interruptions.

12. Limitation of Liability

We provide all services and content "as is" and disclaim all warranties, express or implied.

Our maximum liability for any claim arising from your use of the Site or leased services is limited to the amount you paid us in the three (3) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Kiskadee Media Inc. and its affiliates from any claims, damages, or expenses (including legal fees) arising from:

• Your use of the Site or leased services;
• Any content you provide;
• Your violation of these Terms or applicable laws.

14. Termination of Leased Services

We reserve the right to suspend or terminate your access to leased services:

• If you breach these Terms or any Service Agreement;
• For non-payment;
• For any illegal or prohibited activity;
• At our sole discretion, with or without notice (subject to the terms of your Service Agreement).

Upon termination, your access will be revoked and your site may be deactivated or removed.
